1. Who may use our website?
Our website and the services offered on it are available to anyone who is legally authorised to enter into agreements. By using our website, you confirm that you are at least 18 years old or have the legal consent of a parent or guardian if you are younger.
Creating an account: We do not currently offer the option to create an account on OS3I.eu. All interactions occur through direct communication with us.
2. Main Commercial Terms and Conditions
OS3I offers specialised, tailor-made services. The specific terms and conditions for each project or service, including prices, delivery times, and scope of services, are outlined in a separate quotation and/or agreement. In the event of any conflict, these specific agreements prevail over the general terms and conditions.
3. Payment methods
Unless otherwise agreed in a project or service agreement, we use the following payment methods:
Bank transfer: Payment must be made by regular bank transfer to the account number provided.
All payments must be made within the period specified in the quotation or agreement, but no later than 30 days after the invoice date. In the event of late payment, we are entitled to charge statutory interest and collection costs.
4. Right to change an offer
We reserve the right to change, suspend or terminate any offer of products or services without prior notice, unless a binding agreement has already been reached. This includes prices, specifications and availability. Any changes will not have a retroactive effect on quotations that have already been accepted or current agreements.
5. Guarantees and responsibilities
5.1 Our guarantees: We will perform our services with the utmost care and expertise, in accordance with the agreed specifications and applicable professional standards. We guarantee that our services are fit for the intended purpose, as agreed in writing.
5.2 Your responsibilities: You are responsible for the timely and correct delivery of all information, materials, and cooperation that are essential for us to perform our services. Any delays or additional costs resulting from incomplete or incorrect deliveries shall be at your expense.
6. Intellectual Property, Copyrights and Logos
All content on this website, including, but not limited to, text, images, logos, graphics, audio and video clips, software, and compilations of data, is the property of OS3I or our licensors, and is protected by Dutch and international copyright and other intellectual property laws. You cannot copy, reproduce, distribute, modify, publish or use any of this website's content for commercial purposes without our express written permission.
6.1 Intellectual Property in Development: All intellectual property rights, including but not limited to copyright, database rights, patent rights, trademark rights, design rights and know-how, in products, research, reports, software, analyses, designs, advice, documentation or any other results of work developed or produced in consultation with, on behalf of or jointly with OS3I are vested exclusively in OS3I, unless otherwise agreed in writing in a specific project agreement.
6.2 Right of use: If OS3I develops intellectual property on behalf of the customer, the customer shall acquire a non-exclusive, non-transferable right to use this intellectual property exclusively for the purposes agreed in the relevant project agreement. This right of use is limited to the specified duration and scope and is contingent upon the full payment of the agreed fees.
7. Indemnification
You agree to indemnify OS3I, its directors, employees, licensors and suppliers against all claims, losses, liabilities, damages and costs (including reasonable legal fees) arising out of or in connection with:
- Your use of our website or services;
- Your breach of these terms and conditions;
Any claim that information provided by you infringes our intellectual property rights or the rights of third parties.
8. Limitation of liability
To the extent permitted by law, OS3I shall not be liable for any indirect, incidental, special, consequential or punitive damages or losses, including loss of profits, revenue, data, use, goodwill or other intangible losses, arising from:
Your access to, or use of, or inability to access or use our website or services.
Any content or conduct of third parties on our website.
Accessing, using or altering your transmissions or content. This applies whether or not we have been advised of the possibility of such damages and whether or not the claim is based on warranty, contract, tort (including negligence) or any other legal theory.
Our total liability for any claim arising out of or in connection with these terms and conditions or our services is limited to the amount you have paid us for the specific service to which the claim relates.

10. Applicable Law and Dispute Resolution
These terms and conditions are governed by and interpreted in accordance with the laws of the Netherlands. Any disputes arising from or relating to these terms and conditions, or from the use of our website and services, will first be attempted to be resolved amicably. If this is not possible, such disputes will be submitted exclusively to the competent court in the district where OS3i is located.
